COLORADO B.A.S.S. FEDERATION INCORPORATED

BY-LAWS AND RULES

 

ARTICLE 1                           NAME

 

SECTION 1            The name of this organization shall be The Colorado B.A.S.S. Chapter Federation Incorporated.

 

ARTICLE 2                           PURPOSE AND OBJECTIVE

 

SECTION 1                            The purpose and objectives of this organization are as follows:

 

                A) To serve as an organization in which the individual chapters in the state of Colorado affiliated with B.A.S.S. (Bass Anglers Sportsmans Society) may unite to the benefit of their common interests and causes.

                B) To act as an agency to assist member chapters in whatever manner deemed practical and beneficial. The federation shall not infringe upon member chapters contrary to their autonomous entity.

                C) To act as an agency between B.A.S.S., Mongomery Alabama, and member chapters of the federation in whatever matters deemed practical, necessary, and beneficial to both parties.

                D) To assist and cooperate with the Colorado Department of Natural resources and its agencies in matters mutually beneficial.

                E) To become politically and legally involved in such matters which may or may not be consistent with the goals of the B.A.S.S. and the federation which may arise on a national, state, or local level.

                F) To preserve and further the sport of Bass angling by actively becoming engaged in the areas of environment, pollution, and youth participation.

                G) To promote, organize and conduct an annual Colorado B.A.S.S. chapter federation tournament or tournaments in a manner consistent with the format and rules of the B.A.S.S. tournaments to determine the members of a team to represent the state of Colorado at any Divisional or National B.A.S.S. Chapter federation tournaments.

                H) To promote and facilitate the formation of additional Bass Clubs to become affiliated with the B.A.S.S. and Federation.

                I) To operate as an incorporated association organized for these purposes and not for the purpose of profit.

 

ARTICLE 3                           MEMBERSHIP

 

SECTION 1                            Any club whose principle meeting place is within the state of Colorado and which is duly affiliated with B.A.S.S., must affiliate with State Federation and support it's conservation and youth programs. Any additional requirements that the State Federation establishes for chapters, such as membership, dues, attendance at meetings,  etc.,  would be necessary for the chapter to participate in the State Federation Qualifying tournament(s), and any other  Federation-sponsored tournaments or events.

 

SECTION 2                            Individual members of such chapters automatically become members of the federation, upon receipt of that chapters roster and federation dues.

 

SECTION 3                            Each member chapter shall be represented by three (3) of its members who must be members of the B.A.S.S. and each member shall be entitles to vote at federation meetings. Officers representing their respective chapters will count as one of the three (3) votes, with the exception of the president who will vote only in the case of a tie. This does not preclude the attendance of additional members of the same chapter.

 

SECTION 4                            Should a member chapter of the federation decide to drop it's membership, it may do so at any time by written request.

 

SECTION 5                            Any member chapter may be dropped from membership in the federation for reasons which are not consistent with the policies of the federation. Such actions would require a two-thirds vote of the chapter representatives at a duly called meeting.

 

SECTION 6                            If a Chapter is declared a Chapter NOT in good standing, its members will NOT be eligible to compete for a position on the CBF State Team.

 

ARTICLE 4                           DUES AND MONEYS

 

SECTION 1                            The decision to assess member chapter dues may be made by a two-thirds majority vote  of those representatives present at the next general meeting after a thirty (30) day written notice has been issued to the federation member chapters.

 

SECTION 2                            The federation may accept moneys from B.A.S.S. using said moneys as indicated by the national organization.

 

SECTION 3                            Moneys may be derived from special projects which may be sponsored by this organization. Such projects must be consistent with the goals and policies of the organization and approved by the Board of Directors of the federation.

 

SECTION 4                            Moneys in excess of the costs in the operation of federation tournaments shall revert to the general fund.

 

SECTION 5                            Under no circumstances shall the federation accept monetary, or in kind assistance from individuals, businesses, corporations, government agencies, or any other donors, if there is prima facia evidence that the goals of these entities are contrary to those of the federation.

 

SECTION 6                            Dues shall be in the form of per year assessment per federation member, payable to the federation treasurer by each of the affiliated chapter treasurers. The assessment for members is due December 31 of the current year for active membership in the following year. The assessment for members joining the chapter after January 1 of each year, shall be submitted to the federation treasurer  within thirty (30) days and shall include the members name, B.A.S.S. #, with expiration date, address, phone number, and emergency contact and phone number.

 

SECTION 7                     Federation Membership and Newsletter/Website dues are due by the last calendar day of the current year. Any Chapter who has not paid assessed dues by January 31st of the next year will be declared a Chapter not in good standing.

 

SECTION 8                            Should this organization disband, and all moneys or assets remaining after all indebtedness has been satisfied shall be distributed equally among active member chapters.

 

ARTICLE 5                           BOARD OF DIRECTORS, MANNERS OF ELECTION, TERMS OF OFFICE, DUTIES.

 

SECTION 1                            The Board of Directors will be convened at least quarterly to conduct the business of the Federation.  Additional meetings will be held at the discretion of the President. The BOD shall annually elect by secret ballot the Vice President, Secretary and Treasurer. The President will be voted in for a two  (2) year term.

 

SECTION 2                            The nominations and elections for the offices of President Vice president, Secretary and Treasurer shall be conducted at the last scheduled board meeting of the year, with the new officers to be installed at the first board meeting of the following year.      

 

                A) Eligibility for office or for member of Board of Directors

 

                1. General- Member in good standing of B.A.S.S. of a active affiliated chapter of the federation and of the federation itself as determined from time to time by the board of directors.

                2. Office of President- Must have served one year on the board of directors.

                3. Office of Vice President, Secretary and Treasurer- Must have served one year on the board of directors, or demonstrated active interest in the efforts of the federation.

 

                B) Voting

 

                1. All board members present at a regularly scheduled or special meeting of the BOD shall be entitled to vote on all matters before the Board, so long as members in attendance constitute a quorum.  A quorum shall be 51% of the approved Chapters in the CBF.

                2. The President shall serve a two-year term.  The Vice President, Secretary, and Treasurer shall serve a one-year term, or such additional time as necessary for a successor to be elected.

                3. Any officer may succeed him/herself in office if nominated and elected.

 

                C) Term of Office

 

                1) The president and vice president shall serve a two-year term, while the Secretary and Treasurer shall serve one-year terms, or such additional time as necessary for a successor to be elected.

 

                2) Any officer may succeed him/herself office if nominated and elected.

 

                D) Duties

 

                1) President- Preside over all meetings of the Board of Directors or special meetings of the federation. Direct all official business. Supervise all federation activities. Appoint and be a ex officio member of all standing and special committees. Be an official representative of the federation in the relationship of other organizations. Delegate such duties as may be appropriate to better serve the federation. Maintain liaison with the national B.A.S.S. Federation.

 

                2. The Vice President shall assist the President upon request.  Preside in the absence of the President. Assume the office of the President if it should be vacated.  Act as CBF Tournament Director.  Should the Vice President so desire, he or she shall be responsible for recruitment of a capable person from within the CBF membership to serve as the CBF Tournament Director.  This person will serve at the discretion of the CBF President.

 

                3) Secretary- Record, maintain and publish all minutes of the meetings of the board. Keep all non financial books, papers, records and documents belonging to the federation. maintain correspondence between the federation and it's affiliated chapters and with all other agencies as assigned by the president.

 

                4) Treasurer- Keep and account for all moneys and dues. Pay all federation bills as approved by the board. Prepare a financial report as part of the minutes of each meeting of the board. Develop and submit a annual budget. The Treasurer must be bonded, with the bonding fee to be paid from the Colorado B.A.S.S. Federation general fund.

 

   5) Webmaster-  To update and maintain the CBF web site as directed by the CBF president. 

 

 

                E) Removal of Officer

 

1)       Any officer may be removed from office by a quorum vote of the Board upon thirty (30) days prior notice.

 

 

ARTICLE 6  STANDING COMMITTEES

 

1)             Terms of Office: All Standing Committees shall serve for one year or until a new committee is appointed. The terms of the committee shall coincide with the terms of the elected officers with the exception of the President.

2)             Youth Committee:  The purp0ose of this committee shall be to plan, organize and implement a Chapter Youth Project for the Federation by encouraging and assisting each Chapter in formation of a Youth Club, conducting Bassmasters CastingKids events and any other programs that would encourage youth to participate in the sport of bass fishing and conservation.

3)             Program Committee:  The purpose of this committee shall be to organize and implement an annual awards banquet, any fund raising events approved by BOD, and other events designed to expand membership of the CBF.

4)             Conservation Committee:  the purpose of this committee is to promote conservation efforts of our natural resources, and support state and national agencies conservation efforts. The Conservation Director who acts a chair of this committee is expected to attend at least one of the two National Federation meetings as a representative of the CBF.  This will be the National championships and or the Classic.

5)                Tournament Committee:  The tournament committee shall be comprised of a representative of each approved chapter, which will be the president of each chapter or his/her designated alternate. and will be chaired by the CBF Vice President or his/her designated appointee. The committee shall provide at the 3rd quarter BOD meeting of the CBF a tournament  schedule, tournament rules, and State Team qualifying criteria for each following year.  Tournament committee  decisions are to be final.

6)                   Web Master :. To update and maintain the CBF web site as directed by the CBF president.

 

 

ARTICLE 7                           MISCELLANEOUS

 

SECTION 1                            Anything not covered in these by-laws shall be left to the discretion of the Board of Directors.

 

ARTICLE 8                           PARLIAMENTARY AUTHORITY

 

SECTION 1                            The rules contained in the Robert's Rules of Order Revised shall govern this organization in all cases in which they are applicable and in which they are not inconsistent with these by-laws.

 

ARTICLE 9                           AMENDING OF BY-LAWS OF CONSTITUTION

 

SECTION 1                            These by-laws may be amended at any duly called general meeting of the chapter representatives by quorum vote of those representatives present, providing a written notice of the proposed change has been presented not less that thirty (30) days prior to said meeting.

 

SECTION 2                            Any amendments to these by-laws are subject to written endorsement of the Bass Anglers Sportsmans Society.
